Terms of Use

These Terms form a binding agreement between you ("You", "Member", or "User") and IB Club India ("IB Club", "we", "us"), the operator of ibclub.org.

By (a) checking the acceptance box during registration, (b) signing in via Google OAuth, or (c) accessing or using any feature of the website or our paid memberships, you confirm that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to any part of these Terms, you must not use the website or sign up for membership.

• "Member" — any individual with an active paid IB Club India membership (Basic, Premium, or Elite).
• "User" — any visitor to ibclub.org, whether logged in or not.
• "Content" — any text, image, video, document, comment, post, business listing, investor offer, social-impact proposal, donation note, profile data, or other material submitted to or displayed on ibclub.org.
• "Services" — collectively the website, Member directory, Investment Board, Investor Offers, Communities, Events, Member Benefits, Downloads, Social Impact Hub, AI Assistant, and all related digital and offline benefits.
• "Chapter" — a city- or region-based local group of Members.
• "Community" — a national interest-, profession-, sector-, or stage-based group within IB Club.

To use IB Club, you must:

• Be at least 18 years old and competent to contract under the Indian Contract Act, 1872.
• Be a resident of India OR a Non-Resident Indian (NRI) / Person of Indian Origin (PIO) accessing the Services from a permitted jurisdiction.
• Provide accurate, complete, and current information during registration and membership application.
• Not be barred from receiving Services under any applicable law of India or your jurisdiction of residence.

We reserve the right to verify, suspend, or reject any application at our sole discretion, including for failure of authenticity, fit, or ethical-conduct checks.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to:

• Notify us immediately at support@ibclub.org of any unauthorised access or suspected compromise.
• Use a strong, unique password and enable any optional security features we offer.
• Not share, sell, transfer, or sublicense your account, profile, or member ID to any other person.
• Accept that IB Club is not liable for losses arising from your failure to safeguard your credentials.

IB Club offers three annual paid tiers, all priced in Indian Rupees (₹) and exclusive of 18% GST:

• Basic — ₹59,999 + GST/year
• Premium — ₹99,999 + GST/year
• Elite — ₹2,49,999 + GST/year

Tier benefits — including insurance cover, credit-card facility, holiday packages, concierge access, picnic events, business listing rights, deal-flow access, and event guest counts — are described on the Membership page and may be updated from time to time with reasonable notice.

Government Goods & Services Tax (GST) at the prevailing rate (currently 18%) is added to all fees at checkout. A GST-compliant tax invoice is generated automatically post-payment and made available via your Dashboard → Invoices.

Payment processing. All payments are processed via Razorpay (or such other PCI-DSS-compliant gateway as we may engage). IB Club does not store or directly process your card / bank details.

Renewals. Memberships run for 12 months from the date of approval. We will notify you at least 30 days before expiry. As of the Effective Date, renewals are manual; auto-renewal subscriptions are on our roadmap and will require separate opt-in consent.

Cooling-off window. You may cancel within 7 days of membership approval for a 100% refund to your original payment method. After 7 days, fees are non-refundable except where required by law.

EMI. EMI options on Premium/Elite tiers are offered via select bank partners through Razorpay, subject to your card issuer's terms. Bank-imposed interest, processing fees, and foreclosure charges are between you and the issuing bank.

Chargebacks. Any unjustified chargeback initiated against IB Club may result in immediate suspension of your account, forfeiture of paid benefits, and recovery action.

You agree that you will not:

• Harass, defame, threaten, stalk, or discriminate against any Member, staff, partner, or third party (including on the basis of caste, religion, gender, sexual orientation, disability, or nationality).
• Send unsolicited bulk messages ("spam"), pyramid-scheme pitches, MLM solicitations, or unauthorised commercial communications via IB Club channels.
• Impersonate another person or misrepresent your identity, credentials, business, or investment track record.
• Solicit business or capital outside the Investment Board / Investor Offers / Communities frameworks we provide.
• Use IB Club to make any unregistered Public Offer of securities or any solicitation that would violate the Securities and Exchange Board of India (SEBI) Act, the Companies Act 2013, or any other Indian law.
• Scrape, copy, or reuse the Member Directory, Investor Offers, or any other IB Club data without express written permission.
• Upload viruses, malware, automated scripts, scrapers, or any other harmful technology.
• Attempt to bypass any access controls, RBAC restrictions, payment gates, or rate limits.

Violation may result in warning, content removal, account suspension, permanent ban, forfeiture of fees, and (where appropriate) referral to law-enforcement or regulatory authorities.

The Investment Board, Investor Offers, and any matchmaking introductions provided by IB Club are informational and discovery tools only. They do not:

• Constitute investment advice, financial advice, securities advice, or solicitation to subscribe to or purchase any security.
• Imply any guarantee, warranty, or assurance of investment returns, business performance, valuation accuracy, or due-diligence completeness.
• Replace independent professional advice. You must perform your own due diligence and obtain qualified legal, tax, and financial counsel before any transaction.

While IB Club performs basic admin-level vetting (identity, plausibility, fit) before publishing listings, we make no representation as to the merits, legality, accuracy, or success potential of any business, investor, or deal listed on the platform.

Any contract, term sheet, or transaction between Members is strictly between those parties. IB Club is not a party to such transactions and assumes no liability whatsoever.

Communities are member-organised discussion spaces. Each Community has an owner (the proposer) and may have up to 5 squad-moderators. By participating you agree to:

• Follow the Community's stated norms and respect moderator decisions.
• Not post off-topic spam, illegal content, or material that violates Section 7.
• Accept that owners, squad moderators, and IB Club admins may delete posts, ban members, and archive communities without prior notice for cause.

Community proposals are subject to admin review. We reserve the right to reject, edit, or archive any Community.

The Social Impact Hub allows Members to propose social causes and contribute financially, physically, emotionally, or via in-kind goods. By using this feature you acknowledge:

• Tax-deductibility. IB Club is currently not registered as a Section 12A/80G trust under the Indian Income Tax Act, 1961. Donations are not tax-deductible at this time. Auto-generated receipts are for your records only. We will publicly notify Members when 80G status is obtained.
• Donation finality. All donations are voluntary, final, and non-refundable once captured via Razorpay, except in cases of clear payment-gateway error or duplicate transaction.
• No guaranteed outcomes. While we vet proposals and the owners post progress updates, IB Club does not guarantee that any donated funds will achieve any specific objective, reach any specific beneficiary, or be utilised in any specific manner.
• Volunteer activities. Volunteers participate at their own risk. IB Club is not liable for any injury, loss, or liability arising from volunteer activities (subject to applicable insurance cover, if any).
• Corporate Matching pledges. Corporate match pledges are commercial commitments between the pledging entity and the issue owner. IB Club facilitates but is not a counterparty.
• Anti-money-laundering. We reserve the right to refuse, reverse, or report any donation that we reasonably suspect violates AML regulations, the Foreign Contribution Regulation Act (FCRA), or any other applicable law.

Files in the Download Center are for your personal, non-commercial use only. You may not redistribute, resell, or re-upload IB Club brochures, decks, or member-only documents without our prior written consent. Tier-gated documents are licensed only to Members of the eligible tier.

By submitting a lead-capture form to access a free brochure, you consent to receive related communications from IB Club. You may unsubscribe at any time.

Event participation, including online and offline picnics, summits, hotel stays, holidays, and meet-ups, is subject to event-specific terms (capacity, dress code, guest limits, dietary requirements, cancellation cut-offs). RSVPs are personal to the Member and not transferable without our written consent.

You participate at your own risk. IB Club's liability for any injury, loss of property, or other claim arising from an event is limited to the lesser of (i) the event-specific fee paid (if any) or (ii) ₹50,000.

Photographs, video, and audio captured at IB Club events may be used for IB Club marketing, social media, and community-building purposes. By attending, you grant IB Club a perpetual, royalty-free licence to such usage unless you notify us in writing in advance.

Our IP. The IB Club name, logo, website design, branded materials, and all software, code, and original written content are the intellectual property of IB Club India and are protected by Indian and international copyright, trademark, and other laws.

Your Content. You retain ownership of Content you submit (profile data, business listings, posts, comments, donation messages, social-impact proposals, etc.). By submitting Content you grant IB Club a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to host, display, reproduce, distribute, and adapt the Content for the purposes of operating, promoting, and improving the Services. This license survives termination of your account for any backup, archival, regulatory, or anonymised-analytics purposes.

Feedback. Any feedback, suggestion, or feature request you provide may be used by IB Club without obligation to you.

The Services integrate third-party providers including (but not limited to): Razorpay (payments), Twilio (SMS/WhatsApp), Resend (email), Google (OAuth and Maps), Anthropic Claude (AI Assistant), Emergent's infrastructure platform, and various insurance and concierge partners.

Your use of these third-party services is governed by their respective terms and privacy policies. IB Club is not responsible for the acts or omissions of any third party.

Links to external websites are provided for convenience. We do not endorse or assume responsibility for external content.

Our handling of your personal data is governed by our Privacy Policy, which forms part of these Terms by reference. We comply with the Digital Personal Data Protection Act, 2023 (DPDPA) and applicable consumer-protection law.

You may request data export or deletion via your Dashboard → Settings → Account. Some non-personal records (donation receipts, GST invoices, audit logs) are retained for the legal minimum period.

We may suspend or terminate your account (with or without notice) if you breach these Terms, fail to pay fees, engage in fraudulent or abusive behaviour, or where suspension/termination is required by law.

You may terminate your membership at any time via Dashboard → Settings → Account → Request Deletion. Refund eligibility is governed by Section 6.

Upon termination: (a) your access to paid features ends; (b) Content you posted publicly may remain on the Services in anonymised form; (c) your personal data is handled per our Privacy Policy; (d) sections 13, 17, 18, 19, 20, 21, and 22 of these Terms survive.

To the maximum extent permitted by law, IB Club provides the Services on an "as is" and "as available" basis. We disclaim all warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, non-infringement, and accuracy of information.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free.
• Any defects will be corrected within a specific timeframe.
• Listings, member profiles, or investor offers are accurate, complete, or up-to-date.
• Any investment, business introduction, or community connection will produce a particular outcome.

To the maximum extent permitted by law, in no event shall IB Club India, its directors, officers, employees, agents, or partners be liable for:

• Indirect, incidental, consequential, special, punitive, or exemplary damages.
• Loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings.
• Investment losses, business failures, or transactions arising from Member-to-Member introductions.

Our aggregate cumulative liability arising out of or relating to these Terms or the Services shall not exceed the greater of (i) the total fees paid by you to IB Club in the 12 months immediately preceding the claim, or (ii) ₹50,000.

You agree to defend, indemnify, and hold harmless IB Club India and its directors, officers, employees, agents, contractors, and partners from any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the Services.
• Your Content or its violation of any third-party right.
• Your breach of these Terms.
• Any transaction or relationship you enter into with another Member.

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Step 1 — Informal Resolution. Before initiating any formal action, you agree to first email legal@ibclub.org describing your dispute. We will attempt to resolve it in good faith within 30 days.

Step 2 — Mediation. If unresolved, the dispute shall first be referred to mediation in Mumbai under the Mediation Act, 2023.

Step 3 — Arbitration / Courts. Any dispute not resolved through mediation shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra. Alternatively, at IB Club's option, the dispute may be referred to a sole arbitrator under the Arbitration & Conciliation Act, 1996, seat at Mumbai, conducted in English.

We may revise these Terms from time to time. Material changes will be notified via:

• Email to your registered address, and/or
• A banner on ibclub.org, and/or
• A prompt to re-accept on next login.

Continued use of the Services after the effective date of revised Terms constitutes acceptance. If you do not agree to revised Terms, you must stop using the Services and may request termination per Section 16.
